TradeStack is a calculation and visualization tool. We are not a certified payroll provider, accounting firm, or legal counsel.
- ▸You are solely responsible for the accuracy of the data (wage rates, hours, classifications) you enter.
- ▸TradeStack does not file taxes or transfer money on your behalf.
- ▸We are not liable for any penalties, fines, or restitution assessments levied by the Department of Labor or any other regulatory body resulting from your use of this software.
- ▸All calculations, reports (including WH-347 outputs), and visualizations are provided as aids — not as certified compliance documents. You must independently verify all outputs.
02Acceptance of Terms
By accessing or using TradeStack ("the Service"), you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service, including contractors, subcontractors, project managers, and field workers.
03Service Description
TradeStack provides construction workforce management tools including:
- ▸Total Rewards visualization — showing workers their true hourly compensation including fringe benefits
- ▸Prevailing wage rate calculations and lookups
- ▸Time tracking with GPS verification for field crews
- ▸Certified payroll report generation (WH-347 format)
- ▸Compliance monitoring and audit trail documentation
04Account Terms
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding the credentials you use to access the Service and for any activities or actions under your account.
You must be at least 18 years old and have the legal authority to bind the company or organization you represent. One person or entity may not maintain more than one free account. You are responsible for all content posted and activity that occurs under your account, including worker data entered by your team members.
05Subscription & Billing
TradeStack offers paid subscription plans billed monthly. By selecting a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.
Free Trial: We may offer a 14-day trial period. At the end of the trial, your account will be charged the applicable subscription fee unless you cancel before the trial ends.
Founding Partner Rate: Early adopters who subscribe during the Founding Partner period receive a locked monthly rate for the lifetime of their continuous subscription. This rate is forfeited if the subscription lapses or is cancelled.
Cancellation: You may cancel your subscription at any time through the Billing page in your admin dashboard. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods.
Price Changes: We reserve the right to change subscription pricing with 30 days' written notice. Founding Partner rates are exempt from price increases for the duration of the continuous subscription.
06Data Ownership & Intellectual Property
Your Data: You retain full ownership of all data you input into TradeStack, including worker information, wage rates, time logs, and project details. We do not claim any intellectual property rights over your data.
Our Platform: TradeStack, its original content, features, and functionality (including the Stacked Beam logo, Rugged UI design system, and all proprietary calculation engines) are and will remain the exclusive property of TradeStack and its licensors. The Service is protected by copyright, trademark, and other applicable laws.
License to Use: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term of your subscription.
07Acceptable Use
You agree not to use the Service to:
- ▸Submit false or fraudulent data, including fabricated worker records, to generate misleading compliance reports
- ▸Attempt to gain unauthorized access to other users' accounts or tenant data
- ▸Reverse-engineer, decompile, or attempt to extract the source code of the Service
- ▸Use the Service in any way that violates federal, state, or local law, including Davis-Bacon Act requirements or prevailing wage regulations
- ▸Share, resell, or sublicense your access to the Service
08Limitation of Liability
To the maximum extent permitted by applicable law, TradeStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- ▸Loss of profits, revenue, data, or business opportunity
- ▸Department of Labor penalties, fines, or restitution assessments
- ▸Errors in wage calculations, fringe benefit computations, or compliance reports
- ▸Downtime, service interruptions, or data loss
Liability Cap: In no event shall our total liability exceed the amount you have paid to TradeStack in the twelve (12) months preceding the claim.
09Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. TradeStack includes offline capabilities through progressive web app technology — time logs and field data may be stored locally and synced when connectivity is restored. We are not responsible for data loss resulting from device failure, browser cache clearing, or extended offline periods exceeding the local storage capacity of your device.
10Termination
We may terminate or suspend your account immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.
Data Export: Upon request made within 30 days of account termination, we will provide an export of your data in CSV format. After this 30-day window, we reserve the right to permanently delete your data in accordance with our Privacy Policy.
11Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice via email or a prominent notice on the Service before new terms take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
